Terms of Service

These Terms of Service ('Terms') govern your access to and use of IDXExpress.com and any related websites, software, data services, pages, communications, tools, and features offered by IDXExpress ('IDXExpress', 'we', 'our', or 'us'). By accessing or using the services, you agree to these Terms. If you do not agree, do not use the services.

1. Eligibility and Acceptance

You must be at least 18 years old and legally able to enter into a binding agreement to use the services. By using the services, you represent and warrant that you meet these requirements and that all information you provide is accurate and current.

2. Description of Services

IDXExpress provides website tools, listing search tools, property data displays, lead capture features, automation tools, communications features, and related software and services. Features may change from time to time, and we may add, modify, suspend, or discontinue any portion of the services at any time.

3. Data Source and Platform Disclosures

You understand and agree that:

• IDXExpress is not an MLS, broker, agent, appraiser, title company, or licensed real estate intermediary unless separately stated in writing
• Property, listing, image, and related data displayed through the platform is aggregated from 100+ public, partner, publisher, and third-party sources
• Such data is not guaranteed to be MLS-derived, MLS-approved, IDX-compliant, complete, current, accurate, or suitable for any particular purpose
• No MLS approval is required to use the platform itself
• No real estate license is required to purchase or use the platform itself
• Data made available through the services is not represented as traditional MLS IDX data delivered directly from an MLS feed

You are solely responsible for independently verifying any property information, status, pricing, images, descriptions, boundaries, measurements, valuations, school data, maps, geolocation, or other listing-related content before relying on it for any business, marketing, legal, investment, or consumer use.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of account credentials, restricting unauthorized access to your systems, and all activity occurring under your account. You agree to notify us promptly of any unauthorized access, breach, or suspected misuse.

5. Acceptable Use

You agree not to:

• Use the services in violation of any law, regulation, third-party right, or contractual obligation
• Scrape, copy, republish, redistribute, resell, sublicense, or exploit platform data, images, or content except as expressly permitted by us in writing
• Misrepresent the source, licensing status, accuracy, or approval status of any listing or property data
• Use the services to build a competing dataset, mirror service, or derivative platform without authorization
• Interfere with platform operations, security, or availability
• Upload malicious code, attempt unauthorized access, or probe vulnerabilities

6. Payments, Billing, and Subscription Terms

If you purchase a paid plan or service, you agree to pay all fees, charges, taxes, and recurring subscription amounts associated with your selected plan. Unless otherwise stated in writing, fees are non-refundable, and we may suspend or terminate services for late or failed payment.

7. Communications Consent

By creating an account, submitting your information, booking a call, requesting a demo, purchasing a service, or otherwise interacting with us, you consent to receive service-related and, where permitted, promotional communications by email, phone, and SMS from IDXExpress, its employees, contractors, affiliated companies, agents, automation tools, and AI systems. Message frequency may vary. Message and data rates may apply. You may opt out of SMS by replying STOP where applicable and may use HELP where supported.

8. Intellectual Property

The services, software, page layouts, branding, trademarks, code, workflows, text, graphics, designs, and other platform materials are owned by or licensed to IDXExpress and are protected by intellectual property and other laws. Except for the limited right to use the services under these Terms, no rights are granted to you.

9. Third-Party Content and Services

The services may display, incorporate, or link to third-party content, listing data, images, maps, websites, software, tools, analytics, advertising platforms, payment processors, CRMs, and other services. We do not control and are not responsible for third-party content or services, including their legality, availability, licensing, accuracy, uptime, or performance.

10. Disclaimer of Warranties

The services are provided on an 'as is' and 'as available' basis. To the fullest extent permitted by law, IDXExpress disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and reliability.

Without limiting the foregoing, we do not warrant that property data, listing data, images, descriptions, statuses, valuations, map information, or any third-party content is accurate, current, licensed for your particular use, complete, uninterrupted, error-free, or suitable for legal, business, compliance, or consumer decision-making.

11. Limitation of Liability

To the fullest extent permitted by law, IDXExpress, its owners, members, managers, officers, employees, contractors, licensors, service providers, successors, assigns, affiliates, and related companies shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or use, arising out of or related to the services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the services shall not exceed the amount paid by you to IDXExpress for the services during the three months preceding the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless IDXExpress.com, IDXExpress, and each of their respective owners, members, managers, parent companies, subsidiaries, affiliated companies, contractors, licensors, vendors, service providers, successors, assigns, officers, directors, employees, representatives, and agents from and against any and all claims, demands, actions, investigations, proceedings, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees and costs, arising out of or related to:

• Your access to, use of, misuse of, or inability to use the services
• Your website, pages, ads, campaigns, or business activities using data or content from the platform
• Your reliance on any property listing data, property details, status information, valuation information, mapping data, school data, public records, images, descriptions, measurements, boundaries, or any related content displayed through the services
• Your copying, publication, republication, display, storage, distribution, syndication, or downstream use of listing data, property data, images, or other content made available through the services
• Any allegation that your use, publication, display, or redistribution of listing data, property data, or images infringes, misappropriates, violates, or otherwise harms any copyright, trademark, right of publicity, privacy right, contract right, MLS rule, data provider rule, or other third-party right
• Your violation of these Terms, applicable law, or any third-party rule, agreement, or right
• Any content, data, text, images, code, scripts, or materials you upload, embed, transmit, or otherwise make available in connection with the services
• Any claim by your clients, visitors, leads, end users, vendors, partners, brokers, agents, buyers, sellers, landlords, tenants, MLSs, associations, regulators, data providers, or any third party related to your use of the services

This indemnification obligation applies regardless of whether a claim arises from alleged inaccuracy, copyright issues, image usage, data source disputes, public record discrepancies, fair housing concerns, advertising use, consumer claims, compliance issues, or any other use case connected to your use of the services or any content obtained through the services.

13. Suspension and Termination

We may suspend, limit, or terminate your access to the services at any time, with or without notice, if we believe you have violated these Terms, created risk for us or others, failed to pay amounts due, or if continued service is no longer commercially, legally, or technically feasible.

14. Governing Law and Venue

These Terms are governed by the laws of the United States and, to the extent applicable, the state law chosen by IDXExpress without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the services shall be brought in a court of competent jurisdiction selected by IDXExpress, and you consent to personal jurisdiction and venue in such court.

15. Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted on this page with a revised effective date. Your continued use of the services after updated Terms are posted constitutes your acceptance of the revised Terms.
